**SUMMARY OF JOB:**



Under the general supervision of the Senior Manager, Contracts, the Contracts Specialist will join a dedicated contracts team and will be primarily responsible for monitoring the entire contracting process from initiation through execution in compliance with the Corporate Contracts Policy. In addition, the Specialist will administer the team's use of a contracts management system, and develop and implement initiatives for optimal use of the software and related resources.





**ESSENTIAL JOB RESPONSIBILITIES:**



Contracts:




+ Monitor the entire contracting process from initiation through execution

+ Advise and assist business units on compliance with Company's Contracts Policy and processes

+ Serve as first point of contact for business unit clients

+ Review and monitor the Company's active delegations of signing authority; Work with business clients to update delegations as necessary and appropriate from time to time

+ Identify and develop key metrics and performance indicators for the Contracts team and run accurate and complete reports as requested.

+ Develop and document best practices for Contracts team regarding the use of the Company's contracts management software solution

+ Monitor and audit Contracts team utilization of the Company's contracts management software solution, as necessary to ensure effective use

+ Coordinate efforts to expand the scope of the Company's contracts management software solution, including acting as liaison to contracts management software solution vendor

+ Assist Senior Manager with scheduling and conducting Contracts Policy training sessions company-wide

+ Monitor content on Contracts intranet site and modify or develop new content as necessary and appropriate

+ Work collaboratively and professionally with all members of the Legal Department, business unit staff, and external parties.

+ Assist with management of form agreements and standard provisions and facilitate/encourage use of such forms and provisions

+ Maintain a Contracts team manual

+ Manage annual records retention review, with assistance from Records Manager

+ Pull, verify and deliver quarterly audit report to Internal Audit; provide information and documentation, as requested





Other:




+ Assist with special projects and other work as requested

+ Other duties as assigned





**JOB REQUIREMENTS:**




+ High school diploma or GED required. B.S. or B.A. preferred.

+ Minimum 2 years' experience in business setting (non-government contractor), preferably in contract administration/contract management. Credit given for paralegal or administrative experience in law firm an in-house legal setting.

+ High level of computer proficiency, in particular with MS Office suite (Word, Excel). Experience with contract lifecycle management software preferred.

+ Clear and concise oral and written English language communication skills required, including proper grammar, spelling and e-mail etiquette

+ Ability to follow verbal and/or written instructions

+ Ability to work under high pressure conditions and to successfully handle stressful situations efficiently, professionally and effectively

+ Ability to establish and maintain effective and professional working relationships with co-workers, in-house attorneys, and members of the company's various business units

+ Strong critical thinking skills and the ability to apply lessons learned in one situation to another

+ High degree of attention to detail and follow-through

+ Strong organizational and time management skills and ability to effectively prioritize tasks

+ Ability to work independently and as part of a team

+ Ability to develop high quality reports and data within required timelines

+ Ability to combine a sense of urgency with patience and diplomacy

+ Ability to adapt and work well with a variety of personalities

+ Interest in the outdoors and the products/services provided by the Vail Resorts family of companies

+ Ability to evaluate and interpret policies and procedures

+ Highly motivated - strong desire to learn and grow with the contracts and legal team

+ Proven ability to maintain confidentiality
